Job Summary:
UKG is currently looking to reinforce their legal resources in Europe, to be based from the Paris office. The Corporate Counsel will be responsible for providing research, advice, and other legal support in Europe and more particularly in Western Europe (France, Belgium, Spain) and Central Europe (Germany, Netherlands and Switzerland). The Corporate Counsel will also focus on negotiating commercial contracts and other cloud-related contracts with customers, resellers and vendors. This individual needs to have excellent verbal and written communication skills. Previous experience with contract negotiation and drafting contracts is required.

Job Description:
• Draft and negotiate commercial contracts including Software-as-a-Service agreements and data processing agreements with customers, partners and vendors.
• Review and draft of contractual templates
• Assist Operations with post contractual questions including claims and controversies
• Assist the Privacy and Information Security teams on compliance with data privacy and other relevant laws and regulations
• Assist on other legal matters as required (e.g. employment law, corporate law)


• Licensed to practice law in France, Germany, Switzerland or Belgium
• Fluent in English and French or German. Other languages (Dutch, Spanish) will be considered a plus
• 5-7 years experience as counsel in the cloud/SaaS/IT industry or in relevant private practice
• Experience in international business environments
• First class interpersonal and communication skills
• Excellent negotiation skills
• Overall broad legal knowledge with a particular focus on commercial contracts and data privacy
• High degree of professional ethics, integrity and gravitas
• Strong analytical and research skills
